EXPERIENCE: A REPRESENTATIVE SAMPLING

✦ Chaired international arbitration panel in multi-million dollar dispute

✦ Acted as Interim Legal Counsel for client company for nine months until General Counsel hired; 

continued to assist with international legal matters for 21 months thereafter

✦ Set up multi-entity joint venture between Minnesota company and Danish services business

✦ Assisted numerous small companies with international export and import contracts, distribution agreements, 

 and setting up in foreign countries

✦ Chaired cross-functional team of International Finance and Administration managers at Cray Research

for 8 years  --  completed major revision of international corporate structure and advised on all new

entities in foreign countries

✦ Set up at least 16 new foreign subsidiaries, branches and rep offices

✦ Put in place at least 8 international sales agent agreements and 14 distributor/reseller agreements in Asia,

Latin America, Europe and the Middle East

✦ Responsible for international regulatory matters, trademarks, and books and records for all international

subsidiaries of Cray Research

✦ Established an alliance with a Belgian computer company involving shareholding and technology license,

and major joint software development cooperation agreement with Swiss university

✦ While living in England for six months, set up new European headquarters operation for Cray Research

✦ Set up joint ventures in Brazil, Korea, India and Malaysia and prepared related technology licenses

✦ Drafted and negotiated a manufacturing license and two large sales contracts in China (in the early days)

✦ Negotiated and drafted computer distributorships in Taiwan, Malaysia, Indonesia and Thailand

✦ Handled all legal aspects of the sale of Honeywell’s computer business in 1987 in five Asia/Pacific countries

✦ Participated in the business/legal team which negotiated the French Government’s nationalization of

Honeywell’s share in CII-Honeywell Bull in 1982

✦ Prepared all documents for, and participated directly in an international commercial arbitration in The Hague

for Honeywell
